By accessing or using 2ndCounsel ("the Service"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a law firm or other organisation, you represent that you have the authority to bind that organisation to these terms.
2ndCounsel is a billing capture and revenue copilot for law firms. The Service assists attorneys, paralegals, and law firm staff in capturing billable time, generating billing entry descriptions, and integrating with billing management software.
The Service is offered on a monthly subscription basis. Founding member pricing is $299 per month. Standard pricing after the founding cohort is $499 per month. All subscriptions are billed monthly in advance. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.
The $1,000 setup and onboarding fee is waived in full for the first 100 founding member firms. This waiver is non-transferable and applies to initial onboarding only.
You agree to use the Service only for lawful purposes and in accordance with these Terms, and not to attempt to gain unauthorised access, transmit unsolicited communications, or resell access to the Service.
2ndCounsel is a tool to assist with billing capture and is not a substitute for professional legal judgment. All billing entries generated by the Service are subject to your review and approval before submission to clients. You remain solely responsible for the accuracy and propriety of all invoices submitted under your name and your firm's name.
Our system is designed to capture billing metadata only and does not store client-privileged communications. You are responsible for ensuring that your use of the Service complies with all applicable professional responsibility rules in your jurisdiction.
The Service, including all software, content, and materials, is owned by 2ndCounsel and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes.
To the fullest extent permitted by law, 2ndCounsel shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim shall not exceed the amount you paid to us in the three months preceding the claim.
The Service is provided "as is" without warranties of any kind. We make no warranty regarding the accuracy of any billing entry generated by the Service.
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
